Packy Terms & Conditions Last updated: October 27, 2025 1. Agreement to Terms Welcome to Packy (“Packy,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of Packy’s websites, software, mobile applications, and related services (collectively, the “Service”). By creating an account, clicking “I Agree,” or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (together, the “Agreement”). If you are using Packy on behalf of an organization, you confirm that you have authority to bind that entity. If you do not agree, do not use the Service. 2. Description of the Service Packy provides a software-as-a-service (“SaaS”) platform that helps travel advisors and agencies create branded, AI-assisted, weather-aware packing lists for travelers based on itinerary information. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. 3. Eligibility & Accounts You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Service. You agree to provide accurate, complete, and current information when creating an account and to keep your login credentials secure. 4. License & Acceptable Use Packy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms. You agree not to copy, modify, distribute, sell, lease, or reverse engineer any part of the Service or use it to build a competing product. 5. White-Label & Reseller Use If you use Packy in a white-label or branded capacity (e.g., via your own domain), you agree not to misrepresent ownership, comply with marketing laws, and acknowledge that Packy is not responsible for end-user claims. We may audit and revoke access for misuse or brand misrepresentation. 6. User Data & Privacy You retain ownership of all data uploaded to Packy (“Your Data”). Packy acts as a data processor on behalf of travel advisors (data controllers) and implements reasonable safeguards. We comply with GDPR and CCPA. For EU/UK users, our Data Processing Addendum (DPA) forms part of these Terms. 7. AI-Generated Content Disclaimer Packy uses AI to generate packing recommendations. These outputs are for informational purposes only and may not be accurate or complete. You are responsible for verifying content before sharing it with clients. 8. Third-Party Services & Integrations The Service may connect with third-party platforms (e.g., Travefy, Stripe, Twilio). Their use is governed by their own terms. Packy is not responsible for their performance or data practices. 9. Billing, Auto-Renewal & Refunds Subscriptions renew automatically unless canceled prior to renewal. You authorize Packy or its payment processor to charge your payment method. Fees are exclusive of taxes and non-refundable except as required by law. 10. Security & Responsible Disclosure We use commercially reasonable security measures. Do not probe or test vulnerabilities. Report security issues to info@hellopacky.com. 11. Communications & Marketing Consent By creating an account, you agree to receive transactional communications. You may opt out of marketing messages at any time. Critical service updates may still be sent. 12. Intellectual Property All IP rights in and to the Service are owned by Packy or its licensors. You warrant that Your Data does not infringe others' rights. 13. Warranties & Disclaimers The Service is provided “as is” without warranties of any kind. Packy does not guarantee uninterrupted or error-free operation. 14. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACKY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR ANY LOSS OF PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TOTAL LIABILITY OF PACKY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) FIVE HUNDRED U.S. DOLLARS ($500) OR (II) THE TOTAL AMOUNT PAID BY YOU TO PACKY FOR THE SERVICE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY. THESE LIMITATIONS FORM AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN YOU AND PACKY. 15. Indemnification You agree to indemnify and hold harmless Packy, its officers, and employees from claims arising from your use of the Service, Your Data, or violation of these Terms. 16. Termination You may terminate your account at any time. We may suspend or terminate access for violation, non-payment, or risk. Upon termination, your right to use the Service ends immediately. Data retention lasts 30 days for export. Certain sections survive termination. 17. Dispute Resolution; Governing Law; Arbitration; Class-Action Waiver These Terms are governed by the laws of California. Any dispute, claim, or controversy arising from or relating to these Terms shall be resolved by binding arbitration in Los Angeles, California, administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration will be conducted by a single neutral arbitrator. The arbitrator’s decision will be final and binding and may be entered in any court of competent jurisdiction. The arbitrator shall have exclusive authority to resolve all issues regarding interpretation and enforceability of this arbitration provision. You may opt out of arbitration within 30 days after accepting these Terms by emailing info@hellopacky.com with your name, email, and a clear statement of intent to opt out. If you opt out, disputes shall be resolved exclusively in the state or federal courts of Los Angeles County, California. All arbitration proceedings, including the award, shall be kept confidential except as required by law. CLASS-ACTION WAIVER: YOU AND PACKY AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING. 18. Export & Sanctions Compliance You represent that you are not located in a sanctioned country and will comply with all applicable export laws. 19. Force Majeure Packy is not liable for delays or failures caused by events beyond its reasonable control including natural disasters, acts of government, or internet outages. 20.
